Terms of Service

Last updated: August 26, 2026

Important: Please read these Terms carefully before using FodyPay. By creating an account or using our services, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of FodyPay's mobile application, website, and related services (collectively, the "Service") provided by FodyLabs LLC, a US limited liability company operating FodyPay ("FodyPay", "FodyLabs", "we", "us", or "our").

By accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into binding contracts, and agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

FodyPay provides a digital financial platform that includes:

  • A multi-currency digital wallet for holding fiat and cryptocurrency
  • Virtual Visa and Mastercard issuance and management
  • Peer-to-peer and merchant payments (fiat and crypto)
  • Cryptocurrency purchase, sale, and custody services
  • Transaction tracking and analytics tools

The Service is provided on a "coming soon" / waitlist basis. Features described may be modified, delayed, or discontinued at our discretion.

3. Eligibility and Account Registration

To use the Service you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Not be a resident of a jurisdiction where the Service is prohibited or restricted by law
  • Successfully complete our identity verification (KYC) process
  • Not be a Politically Exposed Person (PEP) without prior written approval
  • Not appear on any applicable sanctions or watch-list

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Payment Services

Upon launch, payment processing for fiat currency transactions is intended to be provided by our licensed payment infrastructure partner (Stripe, Inc.). Prior to activating payment features, you will be required to review and accept the applicable Stripe Services Agreement and, where applicable, the Stripe Connected Account Agreement.

FodyPay will not be responsible for errors, delays, or failures in payment processing that arise from our payment processor's infrastructure. Any applicable fees will be disclosed in your account settings before you confirm a transaction.

If you are issued a virtual card through FodyPay, you will additionally be required to accept the applicable cardholder agreement with our card-issuing bank partner prior to activating your first virtual card.

5. Cryptocurrency Services

Upon launch, stablecoin and cryptocurrency transaction infrastructure is intended to be provided by our regulated crypto infrastructure partner (Bridge). Prior to activating crypto features, you will be required to review and accept the applicable terms of our crypto infrastructure partner.

5.1 Cryptocurrency Risk Disclosure

Cryptocurrency transactions carry significant risk. The value of digital assets is highly volatile and may decline to zero. Past performance is not indicative of future results. You may lose some or all of your invested capital. FodyPay does not provide investment advice and nothing on our platform constitutes a recommendation to buy, sell, or hold any digital asset.

5.2 Irreversibility

Cryptocurrency transactions are irreversible once confirmed on the blockchain. FodyPay cannot reverse, cancel, or recover funds from completed crypto transactions. Always verify recipient addresses before sending.

5.3 Regulatory Status

Cryptocurrency regulation varies by jurisdiction and is subject to change. You are solely responsible for determining whether your use of crypto features complies with applicable laws in your jurisdiction, including tax obligations.

6. Virtual Card Terms

Card Issuer: Upon launch, virtual cards are intended to be issued by a licensed card-issuing bank partner through our payment processor's card-issuing program. FodyLabs LLC (operating as FodyPay) is a technology platform and program manager — not a bank or card issuer. Banking and card-issuing services will be provided solely by our regulated bank partner under its applicable banking licenses.

Virtual cards issued through FodyPay are subject to the card network rules of Visa Inc. and/or Mastercard International. By requesting a virtual card, you agree to:

  • Use the card only for lawful purchases
  • Not share your card details with unauthorized third parties
  • Maintain sufficient balance to cover transactions
  • Report lost, stolen, or compromised card details immediately

FodyPay reserves the right to suspend or terminate virtual cards for suspected fraud, policy violations, or regulatory requirements.

7. Anti-Money Laundering and Compliance

FodyPay is committed to complying with all applicable anti-money laundering (AML), counter-terrorism financing (CTF), and sanctions laws. We are required to:

  • Verify your identity before allowing you to transact
  • Monitor transactions for suspicious activity
  • Report suspicious activity to relevant authorities
  • Block or freeze accounts involved in suspected illegal activity
  • Comply with OFAC, EU, UN, and other sanctions regimes

You agree not to use FodyPay for money laundering, terrorist financing, fraud, sanctions evasion, or any other illegal purpose. Violation will result in immediate account termination and reporting to authorities.

8. Fees

FodyPay may charge fees for certain services including but not limited to: currency conversion, cryptocurrency transactions, card issuance, and expedited transfers. All applicable fees will be disclosed before you confirm a transaction. We reserve the right to modify our fee schedule with 30 days' written notice.

9. Refunds and Cancellations

9.1 Top-Ups and Wallet Loads

Top-up transactions are generally non-refundable once processed. If you believe a top-up was made in error or resulted from unauthorized access, contact [email protected] within 14 days. Approved refunds will be returned to the original payment method within 5–10 business days.

9.2 Card Transactions

If a merchant issues a refund for a purchase made with your FodyPay virtual card, the funds will be credited back to your FodyPay balance within 5–10 business days, subject to the merchant’s refund timeline. FodyPay cannot initiate refunds on your behalf with third-party merchants.

9.3 Cryptocurrency Transactions

Cryptocurrency and stablecoin transactions are irreversible once confirmed on-chain and cannot be refunded. See Section 5 for the full risk disclosure.

9.4 Account Closure

Upon account closure, any remaining fiat balance will be returned to your linked payment method (minus applicable fees) within 10 business days, subject to any regulatory holds. Crypto balances must be withdrawn prior to initiating closure.

10. Prohibited Uses

You may not use FodyPay to:

  • Engage in or facilitate illegal activity
  • Purchase illegal goods or services (including dark web markets)
  • Conduct gambling transactions where prohibited
  • Evade taxes or circumvent financial reporting obligations
  • Harm, defraud, or deceive other users or third parties
  • Attempt to reverse-engineer, hack, or disrupt the Service
  • Use the Service via automated scripts without our written consent
  • Impersonate any person or entity

11. Intellectual Property

The Service and all its content, features, and functionality — including software, text, graphics, logos, and trademarks — are owned by FodyLabs LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes only.

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, FODYPAY DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FODYPAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE PRECEDING 12 MONTHS OR (B) $100 USD. IN NO EVENT SHALL FODYPAY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless FodyPay and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

You may close your account at any time by contacting [email protected]. We may suspend or terminate your account immediately if we believe you have violated these Terms, for regulatory or compliance reasons, or if we discontinue the Service.

Upon termination, your right to use the Service ceases. Any balance remaining in your account will be returned to you (minus applicable fees) within a reasonable period, subject to any legal holds or investigations.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of [STATE — e.g. Wyoming or Delaware] in which FodyLabs LLC is registered, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in the United States, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
